La tendenza alla personalizzazione del fondo fiduciario: esperienze dalla prassi

L’articolo esamina criticamente la tendenza, sempre più frequente nella prassi, a “personalizzare” il fondo fiduciario, trattandolo come se fosse un autonomo soggetto di diritto, anziché come un patrimonio segregato imputato all’affidatario fiduciario. Muovendo dal caso del Fondo M., l’analisi mette in luce le contraddizioni tra struttura negoziale, clausole e pubblicità immobiliare, fino alla “cristallizzazione” di difformità nei registri e al tentativo di rettifica. Il contributo distingue “personalizzazione” linguistica e soggettività giuridica, e propone un confronto con il trust, rimarcando la comune assenza di soggettività autonoma. La conclusione è netta: il perno soggettivo resta l’affidatario; il “fondo” può fungere da etichetta descrittiva, non da titolare di diritti.

The article critically examines an increasingly common trend in practice: “personalising” the fiduciary fund by treating it as an autonomous legal subject, rather than as a segregated pool of assets attributable to the fiduciary manager. Starting from the case of the Fund M., the analysis highlights the contradictions between the transactional structure, the contractual clauses, and land-registry publicity, culminating in the “crystallisation” of inconsistencies in the public registers and an attempted rectification. The paper distinguishes between linguistic/operational “personalisation” and legal personality, and offers a comparison with the trust, underscoring their shared lack of autonomous legal subjectivity. The conclusion is clear: the fiduciary manager remains the only legal pivot; the “fund” may serve as a descriptive label, not as a holder of rights.
