L’atto con cui si istituisce un vincolo di destinazione (ex art. 2645-ter cod. civ.) sui beni del disponente, pur non determinando un trasferimento di proprietà, è idoneo a sottrarre i beni all’azione esecutiva dei creditori, pregiudicando così la loro garanzia patrimoniale. In quanto atto a titolo gratuito e privo di un’adeguata utilità economica per il disponente, l’imposizione di tale vincolo può essere revocata ai sensi dell’art. 2901 cod. civ., qualora sia realizzato in un momento successivo al sorgere dei crediti e sia conosciuto dal disponente il pregiudizio che l’atto arreca alla garanzia dei creditori. La consapevolezza del danno e la concreta possibilità di pregiudicare la soddisfazione dei creditori, anche in presenza di garanzie ipotecarie, configurano i presupposti per l’inefficacia dell’atto stesso.

The author’s view

The act by which a destination restriction is established (pursuant to art. 2645-ter of the Civil Code) on the assets of the settlor, although not resulting in a transfer of ownership, is capable of removing the assets from the enforcement action of creditors, thus jeopardizing their patrimonial guarantee. As an act of gratuitous title and without adequate economic utility for the settlor, the imposition of such restriction may be revoked pursuant to art. 2901 of the Civil Code, if it is carried out at a time subsequent to the arising of the credits and the settlor is aware of the prejudice that the act causes to the creditors' guarantee. Awareness of the damage and the concrete possibility of jeopardizing the satisfaction of creditors, even in the presence of mortgage guarantees, configure the conditions for the ineffectiveness of the act itself.
