Il decreto del Tribunale di Biella del 7 ottobre 2025, nell’ambito di una complessa procedura fallimentare, offre l’occasione per esaminare tre distinti profili problematici che si intrecciano attorno alla disciplina dell’esdebitazione nel diritto concorsuale italiano. Il primo attiene alla istituzione di un trust da parte del fallito in prossimità dello stato di insolvenza e alla sua rilevanza quale condotta potenzialmente distrattiva ai fini del diniego del beneficio liberatorio. Il secondo concerne il regime intertemporale applicabile alle domande di esdebitazione riferite a procedure fallimentari pendenti alla data di entrata in vigore del Codice della crisi d’impresa e dell’insolvenza (D. Lgs. 12 gennaio 2019, n. 14). Il terzo, infine, riguarda la possibile disapplicazione in via interpretativa del presupposto oggettivo di cui all’art. 142, comma 2, L. F., alla luce della Direttiva UE n. 1023/2019 e del principio del fresh start. L’analisi di tali questioni consente di mettere a fuoco le tensioni tuttora irrisolte tra la tradizione repressiva del diritto fallimentare italiano e le istanze di favor debitoris proprie dell’ordinamento europeo.
The author’s view
The order of the Court of Biella dated 7 October 2025,issued in the context of complex insolvency proceedings, provides an opportunity to examine three distinct issues that intersect in relation to the rules on discharge of debts under Italian insolvency law. The first concerns the establishment of a trust by the insolvent party shortly before insolvency and its significance as conduct that may be deemed to have diverted assets, thereby justifying the refusal of the discharge. The second concerns the intertemporal regime applicable to applications for debt relief relating to bankruptcy proceedings pending on the date of entry into force of the Code on Corporate Crisis and Insolvency (Legislative Decree No 14/2019). Finally, the third concerns the possible interpretative disapplication of the objective condition set out in Article 142(2) of the Bankruptcy Law, in light of EU Directive No. 1023/2019 and the ‘fresh start’ principle. An analysis of these issues highlights the still unresolved tensions between the repressive tradition of Italian insolvency law and the favor debitoris principles inherent in the European legal system.
