La Cassazione, nel subordinare la distribuzione anticipata parziale del fondo in trust al consenso unanime dei beneficiari, confonde la cessazione integrale del trust con la distribuzione della quota separabile spettante ai beneficiari richiedenti. Alla luce della giurisprudenza inglese, richiamabile quale formante del diritto di Jersey, l’unanimità è necessaria solo per estinguere l’intero trust, non per attribuire quote assolute, attuali e divisibili, specie se costituite da denaro. Il dissenso del beneficiario estraneo alla quota distribuita non può trasformarsi in veto sulle posizioni altrui.
The author’s view
The Italian Supreme Court, by making the early partial distribution of the trust fund conditional upon the unanimous consent of the beneficiaries, conflates the termination of the trust as a whole with the distribution of the separable share due to the requesting beneficiaries. In light of English case law, which may be relied upon as a source of Jersey trust law, unanimity is required only to terminate the entire trust, not to distribute absolute, vested and divisible shares, especially where they consist of cash. The dissent of a beneficiary who has no interest in the share to be distributed cannot become a veto over the rights of the other beneficiaries.
