La valutazione dell’interposizione del trust non può limitarsi alla sua configurazione formale, ma deve concentrarsi innanzitutto sull’effettiva autonomia del trustee nella gestione e disposizione dei beni. È, infatti, soprattutto la concreta distribuzione dei poteri a consentire di comprendere se ci si trovi di fronte a un trust realmente operante oppure a una struttura meramente interposta. In quest’ottica, assume rilevanza l’effettivo spossessamento: quando il trustee risulti eterodiretto o il disponente continui a esercitare un controllo significativo sul patrimonio, viene meno l’autonomia del trust quale centro di imputazione reddituale, con la conseguenza che i redditi devono essere ricondotti al soggetto interponente. Sul tema è significativa la sentenza del 16 settembre 2025, n. 414, della Corte di Giustizia Tributaria di I grado di Viterbo, perché consente di estendere la riflessione sull’accertamento dell’interposizione. La decisione evidenzia, infatti, l’importanza di valutare anche la sostanza economica delle operazioni realizzate con il trust, verificandone la giustificazione causale e la coerenza tra le prestazioni effettuate, i corrispettivi previsti e le utilità conseguite. In definitiva, nell’analisi tributaria deve prevalere una valutazione sostanziale della struttura e delle operazioni poste in essere, piuttosto che una lettura meramente formale degli istituti e dei rapporti giuridici coinvolti.
The author’s view
The assessment of whether a trust acts as an intermediary cannot be limited to its formal structure, but must focus first and foremost on the trustee’s actual autonomy in managing and disposing of the assets. Indeed, it is above all the actual distribution of powers that enables one to determine whether one is dealing with a genuinely functioning trust or merely an intermediary structure. From this perspective, actual divestment is key: where the trustee is subject to external control or the settlor continues to exercise significant control over the assets, the trust’s autonomy as the centre for the attribution of income ceases to exist, with the consequence that the income must be attributed to the interposing party. Of particular significance on this issue is Judgment No. 414 of 16 September 2025 of the Tax Court of First Instance of Viterbo, as it allows for a broader consideration of the assessment of intermediation. The decision highlights, in fact, the importance of also assessing the economic substance of transactions carried out through the trust, verifying their underlying rationale and the consistency between the services provided, the agreed consideration and the benefits realised. Ultimately, in tax analysis, a substantive assessment of the structure and the transactions carried out must take precedence over a purely formal interpretation of the legal concepts and relationships involved.
